ACAS Tools
End User License Agreement
One agreement covers every ACAS Tools product: AURA, MUSE, VoxGlow, PULSE, SPOTLIGHT, RichChords, CyberShade, QuietWire, FOUNDRY, CADENCE and SURFACE. Version 1.0.
1. Agreement and parties
This End User License Agreement (“Agreement”) is between ACAS, trading as ACAS Tools (“we”, “us”), and you, the person or organisation installing or using our software (“you”). By installing, activating or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software, and request a refund under section 9.
2. Definitions
- “Software” means the ACAS Tools product you obtained (for example AURA, MUSE, VoxGlow, PULSE, SPOTLIGHT, RichChords, CyberShade, QuietWire, FOUNDRY, CADENCE or SURFACE), including plugins, applications, installers, presets, sounds, documentation and any updates we provide.
- “License File” means the signed license file or key we issue to unlock the full Software.
- “Trial Mode” means the Software running without a valid License File.
- “Your Content” means audio, MIDI, text, images, data and other material you create or process with the Software.
3. License grant
- Full license. When you buy the Software and receive a License File, we grant you a perpetual, non-exclusive, non-transferable license to install and use that version and its updates for personal or commercial work, on up to 3 computers you own or control, used by you.
- Trial Mode. You may use the Software in Trial Mode free of charge to evaluate it. Trial Mode limits or disables some features. You may not remove those limits.
- Free products. Products we offer free of charge are licensed on the same terms, without a License File.
- Your License File is personal. It identifies you and your purchase. Do not share, publish or sell it. We may trace shared License Files to the original purchase.
- Transfer. You may not sell, rent, lend or transfer the Software or your License File, except with our written approval.
- We keep every right not expressly granted to you. The Software is licensed, not sold.
4. What you may not do
Except where applicable law gives you a right that cannot be waived, you may not, and may not help or allow anyone else to:
- Reverse engineer the Software: decompile, disassemble, decrypt, unpack, trace, or otherwise try to derive its source code, algorithms, signal processing, models, data structures or file formats.
- Bypass licensing or protection: remove, disable or work around the License File check, Trial Mode limits, copy protection, obfuscation or update signatures, or create or share cracks, keygens or patched copies.
- Copy or clone it: reproduce, adapt or re-implement the Software, its interface, presets, sounds or features, in whole or in substantial part, to make, market or sell a product that competes with it, whether by hand or with automated or AI tools.
- Train AI on it: use the Software, its binaries, code, interface, documentation, presets or outputs of any analysis of them to train, fine-tune, prompt or evaluate any machine-learning or AI system for the purpose of reproducing or competing with the Software. This does not restrict Your Content (section 5).
- Redistribute it: share, upload, resell, sublicense, rent or bundle the Software or its installers, except as a free product we allow to be shared.
- Extract assets: separate presets, sound files, images or other bundled content for use outside the Software.
- Remove notices: alter or remove copyright, trademark or attribution notices.
- Misuse it: use the Software to break the law, to access systems or data you are not authorised to access, or to send spam or unsolicited messages through any channel.
Where law allows limited reverse engineering for interoperability, you must first ask us in writing for the information you need; we will provide it where reasonable.
5. Your content
You own Your Content. We claim no rights in the music, audio, posts, files or data you create or process with the Software, and you may use them commercially without royalties or credit to us. You are responsible for having the rights to the material you put into the Software and for what you publish with it.
6. Updates, activation and privacy
- Updates. The Software may check for updates automatically (at most once a day) and when you ask. The check downloads a signed file from our public update page and sends no personal information, license details or usage data. You can turn automatic checks off in the Software’s settings. Updates are covered by this Agreement unless they come with new terms.
- Activation. License Files are checked on your computer, offline. If you activate with a purchase code instead of a License File, the Software sends that code, the product name and your email address once to our activation service at acasintelligence.com to receive your License File; after that it works offline. The Software may also download our public list of refunded licenses, which sends no information about you.
- No tracking. The Software does not collect analytics, telemetry or usage data, and does not send your files anywhere except to services you configure yourself (section 7).
- Our privacy policy at acasintelligence.com/privacy explains how we handle the details you give us when you buy (for example your email address).
7. Third-party components and services
- The Software includes third-party components (for example the JUCE framework, Tailscale libraries, Qt/PySide6 and open-source cryptography libraries), licensed under their own terms. Required notices are listed in the Software or its documentation.
- Some products connect to services you choose and configure with your own accounts or keys (for example AI providers, Google Search Console, Discord, email, social and store platforms, Tailscale). Your use of those services is governed by their terms, you are responsible for any fees they charge, and we are not responsible for their availability or for what they do with data you send them.
- Content that AI features generate may be inaccurate. Review it before publishing.
8. Ownership
The Software, its code, algorithms, interface, presets, documentation, names and logos are owned by ACAS and protected by copyright, trade secret and trademark law. The DHC logo and artist credit shown in some products belong to their owner and are used with permission.
9. Refunds
Try Trial Mode before you buy. If the Software does not work for you, ask the store you bought from for a refund within 14 days of purchase. A refund ends your license, and you must delete the Software and License File. Where a store’s own refund policy is more generous, it applies.
10. Termination
This Agreement lasts until it ends. It ends automatically if you break section 3 or 4, or if your payment is refunded or reversed. You may end it at any time by deleting the Software. When it ends you must stop using and delete the Software and License File. Sections 4, 5, 8 and 11 to 15 survive.
11. No warranty
The Software is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, to the fullest extent the law allows. We do not promise that it will be error-free, uninterrupted, or compatible with every host, plugin, operating system or service.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, projects, audio, recordings or business, arising from the Software, even if we were told they might happen. Our total liability for any claim is limited to the amount you paid for the Software. Nothing here limits liability that cannot be limited by law.
13. Product-specific notices
- Audio plugins. Keep backups of your projects. We are not responsible for lost sessions, host crashes, or hearing damage from high output levels.
- CyberShade. CyberShade is an additional layer of protection, not a guarantee. It will not detect every threat, and its automatic responses (stopping or quarantining a program) can affect legitimate software. Keep your operating system, backups and other security tools in place. You are responsible for choosing which responses to enable, especially on servers.
- QuietWire. Transfers run over your own Tailscale network. You are responsible for the devices and people you allow to connect, and for keeping backups of your files.
- FOUNDRY, CADENCE and SURFACE. You are responsible for what you post, publish or send through them, and for following each platform’s rules. AI output and third-party data may be wrong or out of date.
14. General
- Governing law. This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules. Mandatory consumer protections of your home country still apply.
- Export. You will comply with applicable export and sanctions laws.
- Whole agreement. This is the entire agreement about the Software and replaces earlier understandings. If a part is unenforceable, the rest still applies. Failing to enforce a term is not a waiver.
- Changes. We may update this Agreement for future versions; the version that came with your copy governs that copy.
